Three kinds of state filing

  • Annual report. A short yearly filing with the state where the company was formed, with a state fee. It keeps the company active on the state's records.
  • Franchise tax. A yearly charge some states make simply for the company existing there, whether or not it earned anything.
  • State tax return. A return that reports income to a state. It is needed only when the business operates or earns income in that state.

These are separate from your federal filing. A company can be up to date with the IRS and still fall out of good standing with its state.

Wyoming

Annual report · due each year

Due by the first day of the month the company was formed. The state charges an annual license tax with the report.

Delaware

Annual tax · due June 1

LLCs pay a flat annual tax by June 1 and file no annual report. Corporations file an annual report with franchise tax by March 1.

New Mexico

No annual report for LLCs

New Mexico does not require LLCs to file an annual report, which is one reason owners abroad choose it. The federal filing still applies.

Florida

Annual report · January 1 to May 1

Filed between January 1 and May 1 each year. The state adds a late fee after May 1.

Common questions

Is an annual report the same as a tax return?

No. An annual report is a short yearly filing with the state where your company was formed. It confirms details such as the company's address and registered agent and comes with a state fee. A tax return reports income. Many LLCs owe an annual report even when they owe no tax.

What happens if I miss my state filing?

States charge late fees, and after a period of non-filing they can dissolve the company or mark it as not in good standing. That can cause problems with banks and payment providers.

Who pays the state fee?

You do. State fees and any state tax owed are separate from our filing fee. On request, we make the payment to the state on your behalf.
