Who needs to file

Form 5472 is how the IRS learns about money moving between a U.S. company and its foreign owner. Two groups file it:

  • Foreign-owned single-member LLCs. If you live outside the U.S. and are the only owner of a U.S. LLC, your company files Form 5472 attached to a pro forma Form 1120 each year it has reportable transactions.
  • U.S. corporations that are at least 25% foreign-owned, which attach Form 5472 to their regular Form 1120.

Reportable transactions include money you put into the company, money you take out, loans in either direction, and company costs you pay personally, including formation and state fees. That is why most foreign-owned LLCs need to file even in a year with no sales.

Deadlines and penalties

For calendar-year companies, Form 5472 with the pro forma Form 1120 is due April 15. Form 7004 extends that to October 15. The penalty for not filing starts at $25,000 per form, per year, with further penalties if the failure continues after an IRS notice.

Common questions

Is Form 5472 a tax return?

No. It is an information return. It tells the IRS about transactions between your U.S. company and its foreign owner. A foreign-owned single-member LLC that only files Form 5472 with a pro forma Form 1120 usually has no U.S. corporate income tax to pay through that filing.

My LLC made no money this year. Do I still file?

Usually, yes. Forming the company, paying its state or registered agent fees, or moving money into its bank account are transactions between you and the company, and they are what the form reports.

Can I get more time to file?

Yes. Form 7004, filed by April 15, extends the deadline to October 15. We file extensions for $100.

My LLC has two owners. Is this the right form?

An LLC with two or more owners is normally taxed as a partnership and files Form 1065 with a Schedule K-1 for each owner instead. We prepare those as well, from $300.
